Welcome to RadixAPI, a platform developed by Upper One LLC. Please read these Terms and Conditions (the “Terms”) carefully, as they govern your use of our website, API, proprietary bots, and other applications (the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms, which form a legally enforceable agreement between you (referred to as “you” or “your”) and Upper One LLC (“Upper One,” “we,” “us,” or “our”).

1. General Usage Rights

Upon purchasing our API packages, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited right to access and use the Services for your personal and commercial purposes. This right is subject to:

  • Your full compliance with these Terms and all applicable laws.
  • Commercial usage solely for developing, testing, and supporting software applications, websites, platforms, services, or products that rely on our Services.
The duration of this right aligns with the terms of your purchased package, defined either by time or API credit limits. We reserve the right to terminate or restrict your access at our sole discretion, particularly if you violate these Terms or misuse the Services for illegal, fraudulent, or abusive purposes.


2. Purchase and Validity of API Credit Points

  • API access requires the purchase of credit points. Various packages are available, and payment is processed via the connected Radix wallet.
  • The amount in USD will be converted to its equivalent in XRD at the time of purchase.
  • Your user profile will display purchase history, remaining credits, and validity details.
  • When you purchase a new package, its validity will extend the remaining validity of your current package.
  • The credit requirements for specific endpoints are listed in the API documentation and are subject to change. Any such changes will be communicated via our changelog.
  • Refunds for unused credits or terminated services are excluded unless explicitly stated in separate agreements.


3. Usage of API Keys

  • Access to our Services requires an individual API key issued to your account or project.
  • API keys must not be shared with third parties. Any unauthorized use or sharing of your API key is strictly prohibited.
  • You are responsible for safeguarding your API key. If you suspect it has been compromised, you must notify us immediately.
  • We are not liable for damages arising from misuse, including but not limited to loss of credits or disruptions to your access.


4. Resale of Data

  • You are strictly prohibited from reselling, redistributing, or sublicensing any data or information obtained through our API including the access to our Services to third parties.
  • The data provided by our Services is intended solely for your internal use and must not be shared or monetized in any form without our explicit prior written consent.
  • Any violation of this section may result in immediate termination of access and potential legal action.


5. Use of Customer Logos

  • By using our Services, you grant us the right to display your logo on our reference list or marketing materials, unless you explicitly request otherwise.
  • If you do not wish for your logo to be used, please notify us in writing via email at contact@upperone.llc.
  • We will promptly remove your logo from our materials upon receiving such a request.


6. Versioning and Updates

  • We aim to improve our Services by periodically updating API endpoints or introducing new ones.
  • Changes to endpoints will typically occur in new versions. Older versions will remain accessible for at least three months after the release of a new version unless otherwise specified.
  • Notifications about updates, changes, or version deprecations will be communicated via our changelog.


7. Availability

  • While we maintain robust IT infrastructure, including monitoring and backup systems, we cannot guarantee uninterrupted availability of our Services.
  • Planned maintenance, security updates, or issues with external service providers may lead to temporary unavailability. Notifications about scheduled maintenance will be provided via our changelog.
  • We are not responsible for service disruptions caused by events beyond our control (e.g., natural disasters or cyberattacks).


8. Rate Limits

  • API rate limits are determined by your purchased package and specify the maximum number of calls allowed per minute.
  • We reserve the right to modify rate limits at any time for reasons including server performance and stability.
  • Exceeding or circumventing rate limits is strictly prohibited and may result in suspension or termination of access.


9. Limitation of Liability

  • We are not liable for damages arising from your use of our Services, including but not limited to direct, indirect, incidental, or consequential damages, or loss of profits.
  • You acknowledge that our Services are provided “as is” without warranties of any kind, including but not limited to uninterrupted, timely, secure, or error-free operation.
  • In jurisdictions where liability limitations are not enforceable, our liability is limited to the maximum extent permitted by law.


10. Duration and Modification of Terms

  • These Terms remain effective as long as you use our Services.
  • We reserve the right to update these Terms at any time. Changes will be published on our website, and your continued use of the Services constitutes acceptance of the revised Terms.
  • For significant updates, we may require your explicit consent (e.g., agreeing to a revised terms prompt).


11. Individual Agreements

  • Enterprise customers may enter into individual agreements with Upper One LLC. Such agreements may include customized terms and payment arrangements.
  • In case of conflict, the individual agreement will take precedence over these Terms.
  • All individual agreements must be documented in writing and signed by both parties.
